I am an experienced in house counsel and have worked in the pharmaceutical, consumer goods and restaurant industry. I have experience with a variety of agreements, below is a non-exhaustive list of types of agreements I can help with: Supply Agreements Distribution Agreements Manufacture Agreements Service Agreements Employment Agreements Consulting Agreements Commercial and residential lease agreements Non-compete Agreements Confidentiality and Non-Disclosure Agreements Demand Letters Termination notice Notice of breach of contract My experience as in house counsel has exposed me to a wide variety of commercial matters for which I can provide consulting and assistance on. I have advised US, Canadian and International entities on cross-functional matters and have guided them when they are in different countries and jurisdictions as their counterparties. I can provide assistance early on in a business discussion to help guide you and make sure you ask the right questions even before the commercial agreement needs to be negotiated, but if you are ready to put a contract in place I can most definitely help with that too.

It truly depends on the context in which they are being used. Both clauses outline the terms under which you get out of the contract.

Business Purchase Agreement
North Carolina
Does a business purchase agreement need notarization?
I am in the process of purchasing a business and I have been presented with a business purchase agreement. I want to make sure that I am making the right decision and that all documents are properly documented. I understand that some legal documents may require notarization and I wanted to confirm if a business purchase agreement requires notarization.
N'kia N.
North Carolina does not require business purchase agreements to be notarized. However, some documents related to the business purchase deal might require notarization. For example, any deeds needed for the deal will likely have to be notarized. Some business purchase deals are pretty simple, while others can be rather complex. In many situations, it is ideal for each party to have at least one attorney representing them in the negotiations and preparing the necessary documents. If you have questions or concerns about a business purchase agreement, you might consider consulting with a knowledgeable corporate attorney. Good luck!

C corp and board composition?
I am a small business owner that is in the process of setting up a C Corporation. I am currently in the process of forming the board of directors and I want to make sure that I am following all of the necessary legal regulations. I want to ensure that I am properly setting up the board of directors and that the board is comprised of the correct individuals.
Michael S.
The specific requirements for the composition of a board are a matter of State law, so the answer would depend on where your corporation is incorporated and, in some circumstances, where it is physically located. The number of directors and the specific choice of whom to add to the Board is generally best determined on a case by case basis.

Is it possible to give advisory shares for free in the US?
We are a French startup, and in France advisory shares must be bought by the investor. We wanted to know if that's also the case in the US, because we have US investors. Thanks a lot for your precious help!

Founders' Agreement
Texas
Signing Founders Agreement as non-us resident?
I am from Ecuador and I am going to sign a Founder's Agreement with a person from Texas. I want to know in detail what are things I must take into consideration before signing this agreement.
Jane C.
I would look at the provisions related to taxes, intellectual property, and non compete provisions. I suggest you review the terms with an attorney before signing.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project.
