SaaS Agreement

Florida

Asked on Jul 22, 2023

SaaS agreement and data ownership?

I am the founder of a small startup that is developing a software-as-a-service (SaaS) solution. We are in the process of negotiating a SaaS agreement with a potential customer and I am looking to understand what rights the customer will have to the data that they provide to us. We want to make sure that we are adequately protecting our intellectual property while also providing the customer with the ability to use the data they provide.

Diane D.

Answered Sep 1, 2023

To be able to answer your question, I would need to see the SaaS agreement you have with your potential customer. I could then let you know your rights, and what you need to say in the Agreement to be fully protected and retain your data.

Terms and Conditions

Florida

Asked on Nov 30, 2023

Why are terms and conditions long?

I am a small business owner who is in the process of creating a website for my business. I have been researching terms and conditions for websites, and I noticed that most of them are very long. I want to make sure that my terms and conditions are comprehensive to protect my business, but I am worried that if they are too long, customers may not read them. That is why I am asking why terms and conditions are so long.

Diane D.

Answered Dec 19, 2023

Because every type of situation needs to be covered to protect you. That cannot be done in a paragraph or two.

Terms and Conditions

Florida

Asked on Dec 2, 2023

Are there terms and conditions templates?

I am starting a business and I need to create a set of terms and conditions for my customers. I have been researching online, but I am overwhelmed with the amount of information available and I am not sure what the best approach is. I am hoping to find a template to help guide me in the right direction.

Diane D.

Answered Dec 19, 2023

Yes. However, a template is a general, non-specific document. Specifying it to your needs can be tricky. You should have a lawyer do it for you because they are trained to limit any liabilities and risks your company may have. It's better to spend the money upfront, then try to get out of a mess letter, which will be much more expensive, especially if you get sued.

Asked on Dec 1, 2023

Are digital terms and conditions enforceable?

I am a small business owner who is in the process of launching a new website. I am looking to create a Terms and Conditions page for visitors to my website, but I am unsure if digital Terms and Conditions are legally enforceable. I am looking for advice on how to best create a Terms and Conditions page that is legally binding and enforceable.

Diane D.

Answered Dec 12, 2023

Yes, digital terms and conditions are legally enforceable. The best way to create them are to have a contract attorney draft them for you.

Consulting Agreement

Florida

Asked on Nov 4, 2023

How to terminate a consulting agreement?

I recently entered into a consulting agreement with a client. After a few months, I have realized that the terms of the agreement are not beneficial to me and I would like to terminate it. I would like to know what legal steps I need to take in order to terminate the agreement and what potential repercussions I may face.

Diane D.

Answered Dec 19, 2023

That's why you should read the agreement before you sign it and bring it to an attorney to review. Termination conditions of the contract should be in the contract. You have to follow those. If you don't like them, you can ask the other party if you can change them or if you can break the contract. If they don't agree, you're stuck and will be in breach if you try to cancel it. You can cancel it if the other party breaches it, but you have to have a valid reason or the courts will not grant it and you will end up with major legal bills.

Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
