What is the purpose of a letter of intent?
I am buying a small business and have read I should put a letter of intent in place. I see they can be binding and non-binding. Why do I need to send a letter of intent? What is the benefit for the buyer?

A letter of intent establishes the initial negotiations of the parties; they are typically non binding. The LOI sets out what the parties should expect the agreement would look like, so that everyone is on the same page. For the buyer, it tells the seller what they want; and while no binding, it should only include terms that the parties agree upon. Those terms will be used in the Asset Purchase Agreement (APA) or Purchase and Sale Agreement (PSA) which is binding. Sure. Gathering people around a conference room table to sign documents is so 1990s. I have clients all over the world, and routinely have them sign documents of all types (shareholder agreements, board resolutions, merger agreements, etc.) using platforms like Docusign. I couldn't function without it.

Are there templates for a contractor agreement?
I recently hired a contractor to complete a project for my business, but I need to create a legal agreement between us. I understand the importance of having a contract that outlines the expectations and terms of the project, but I don't have any experience with creating such an agreement. Therefore, I am wondering if there are any templates available for contractor agreements.

There are many sources online that provide templates and cover the basic provisions for a contractor agreement. These provisions include, for example, scope of work, compensation, milestones and deadlines, termination, governing law, and dispute resolution. But there are many other provisions that may need special consideration and go beyond your typical boilerplate provisions. Therefore, it's always good to research any online source that provides templates and also consider contacting a licensed attorney in your jurisdiction so that you know your contract will meet the legal requirements of your state. Common online sources include Rocket Lawyer, LegalZoom, and Law Depot. You may also want to consider contacting your state's bar association. Many states have bar associations that can refer you to a licensed attorney in your area.

Are purchase agreement renewals common?
I am in the process of purchasing a business and have been presented with a purchase agreement by the seller. The agreement includes a clause that seems to imply that the agreement can be renewed. I am curious to know if this is a common practice, and if so, what are the implications for me as the buyer?

I'm not 100% sure what you are asking, but in negotiatons of purchases of businesses, business real estate, and personal real estate, it's not unusual to sign amendments extending the date by which an agreement must be made, or by which closing will occur. There can be many, many reasons for this, but generally, at least in my experience, both parties must agree in writing to any extensions of any sort of dates or deadlines. Here are two very common reasons a purchase and sale agreement may need to be extended: (1) Obtaining financing or (2) Obtaining an inspection I hope that helps! Best wishes, Merry

I have a contract between myself and my employer. Does it need to be reviewed to see if I can legally get out of it. In addition, I need to know if this contract is transferable in the event the practice gets sold?

I will charge you 250 dollars to review a two-page contract, that will include a memorandum discussing various issues I discover, as well as any questions you raise.
