  • Ownership. It’s crucial to specify who owns the feedback provided by the tester. It’s usually the developer.
  • “As-is” disclaimer. Since software can make errors or cause losses, the tester accepts it “as-is” and assumes all risks.
  • Non-permitted uses. The agreement should specify what activities the tester is prohibited from doing, such as using the AI software for their business tasks.

What are Red Flags in an AI Beta Testing Agreement?

When you’ve received an AI beta testing agreement, you should take time to review it closely so that you don’t put yourself at risk. Here are some things to look for. They should also be considered if you’re drafting the agreement from scratch.

Long NDA Periods

Although maintaining confidentiality is important throughout the agreement, testers don’t want to have to be stuck in a long period of confidentiality in which they can risk accidental violations.

Unclear Activities

You want to know exactly what you’re supposed to do when testing the software and look for clearly defined prohibited activities. This prevents you from doing anything to violate the contract.

Vague Feedback Terms

Anything vague or unclear in the agreement should be revised to prevent confusion. When it comes to feedback, as a tester you’ll want to know how your feedback will be used and if the other party owns it.

Lack of “As-is” Disclaimers

This agreement usually includes an “as-is” disclaimer so that the tester agrees to accept the software as it is, without expecting anything more. The other side of this is that you’ll take responsibility for any losses or errors caused by the AI software. It can help to chat about these disclaimers with the developer so you have a better idea of what could happen.

General Confidentiality Clauses

If you break the confidentiality clause in the agreement, you could face serious consequences, such as penalties. This is why it’s crucial not to agree to the contract before seeking clarification from the other party about what activities you need to do to ensure confidentiality.

Lack of Liability Limit Details

A solid AI beta testing agreement should specify details about the developer’s liability limits. This will show you what you’re responsible for if something goes wrong when working with the AI software.

No Mention of Conflicts of Interest
