Quick Facts — Software Distribution Agreement Lawyers

A software distribution agreement is a contract between a software publisher and a distributor outlining the terms and conditions of software distribution. In the United States, these agreements are governed by federal and state laws, including copyright, trademark, and contract laws.

The agreement typically covers important details such as the rights and obligations of the parties, the payment and compensation structure, and the conditions under which the distribution agreement can be terminated.

A software distribution agreement aims to provide a clear understanding of the expectations and responsibilities of both the publisher and the distributor and to ensure the successful distribution of the software.

Essential Elements of a Software Distribution Agreement

  • Definition of the Software

The agreement should clearly define the software being distributed, including any updates or upgrades that may be released in the future.

  • Rights and Obligations of the Parties

This section outlines the rights and responsibilities of both the publisher and the distributor, such as the distributor's right to sell the software and the publisher's right to receive compensation for each sale.

  • Payment and Compensation

This section outlines the payment and compensation structure, including the amount the distributor will receive for each sale, any bonuses or incentives that may be offered, and the payment schedule.

  • Marketing and Promotion

The agreement may include provisions related to the marketing and promotion of the software, such as the distributor's responsibility to promote the software and the publisher's right to approve any marketing materials.

  • Warranties and Representations

This section outlines the warranties and representations made by each party, such as the publisher's warranty that the software does not infringe on any third-party intellectual property rights and the distributor's representation that it will comply with all applicable laws and regulations.

  • Confidentiality

This section outlines the confidentiality obligations of each party, such as the distributor's obligation to maintain the confidentiality of the software and any confidential information related to the software.

  • Termination

This section mentions the conditions under which the distribution agreement can be terminated, such as a breach of the agreement by either party or the end of the agreement.

  • Limitation of Liability

This section limits the liability of each party in case of any damages or losses incurred in connection with the distribution agreement.

These are some common terms included in a US software distribution agreement, but the exact terms and conditions can vary depending on the specific agreement and the parties involved.

Benefits of a Software Distribution Agreement

A US software distribution agreement can bring several benefits to both the software publisher and the distributor:

  • Clarity and Structure

A software distribution agreement provides a clear and structured framework for the distribution of the software. It mentions the rights and obligations of both parties and sets clear expectations for their respective responsibilities.

  • Protection of Intellectual Property

The agreement can help to protect the publisher's intellectual property rights in the software by clearly defining the terms of distribution and setting limits on the use and distribution of the software by the distributor.

  • Improved Revenue

The agreement can help increase revenue for both parties by clearly defining the payment and compensation structure and establishing the conditions for software distribution.

  • Better Marketing and Promotion

The agreement may include provisions for marketing and promotion of the software, which can help increase the software's visibility and sales.

  • Improved Customer Relationships

The agreement can help to improve customer relationships by setting clear expectations for the quality and performance of the software and ensuring that the distributor is providing high-quality support and customer service.

  • Reduced Risk of Disputes

The agreement can help to reduce the risk of disputes by clearly defining the terms and conditions of the distribution and setting a framework for resolving any disputes that may arise.

  • Facilitation of Future Collaborations

A well-drafted software distribution agreement can establish a positive and productive working relationship between the publisher and distributor, setting the stage for future collaborations and mutually beneficial business relationships.

"Solid drafting work on a B2B paid services agreement with a nuanced surcharge model. Daehoon delivered on time across two rounds, cited actual Illinois case law where relevant, and proactively flagged edge cases I hadn't specifically asked about. His initial bid was the sharpest of the seven I received — he clearly read the parameters carefully. One note for future buyers: scope discipline runs both ways with him. He'll flag scope creep quickly and quote a supplemental fee (in my case $600 on a $1,200 base) for revisions beyond the follow-up envelope. That's fair and clearly communicated, but budget for it if you expect iteration. Would hire again for drafting work where scope is well-defined upfront."
