Nancy B.
I was born in Charlotte, NC and primarily raised in Dalton, GA. I graduated from Dalton High School in 1981 where I was in the band and the French club. I also participated in Junior Achievement and was a member of Tri-Hi-Y. New York granted my first license as an attorney in 1990. I then worked as a partner in the firm of Broda and Burnett for almost 10 years and as a solo practitioner for about 2 years. I worked as a general practitioner (primarily doing divorces, child abuse cases, custody matters and other family law matters, bankruptcy, real estate closings, contracts, taxes, etc.) and as a Law Guardian (attorney who represents children). I obtained my license in Tennessee in December 2002 and began working as an associate at Blackburn & McCune from February of 2003 until May of 2005. At Blackburn & McCune I provided telephone legal counsel to Prepaid Legal Services (now known as Legal Shield) members, wrote letters for members, reviewed contracts, attended hearings on traffic ticket matters and represented members with regard to IRS matters. In May of 2005, I went to work for North American Satellite Corporation where I served as Corporate Counsel. I handled a number of taxation issues, reviewed and wrote contracts, counseled the CEO and Board of Directors on avoiding legal problems and resolving disputes, and represented employees on a variety of matters, and also assisted the company for a period of time as its Director of Accounting. In 2010, I volunteered as a law clerk for Judge Robert Adams in Dalton, Georgia until I obtained my license to practice law in Georgia in November, 2010. In Georgia, I have handled a variety of family law matters, drafted wills, advanced health care directives, power of attorney documents, reviewed and drafted contracts, and conducted real estate closings. Currently, I accept cases in the areas of adoption, child support, custody, divorce, legitimation and other family law matters. In addition, I handle name change petitions and draft wills.

Partnership Agreement
Washington
How long is a partnership agreement valid?
I am considering entering into a partnership agreement with another person and I would like to know how long the agreement is valid. We are starting a small business together and I want to make sure that the agreement is legally binding and will remain valid for the duration of our partnership. I am looking for clarity on what the expiration date of the agreement is, if any, and any other important details that I should be aware of.
Merry A.
I cannot give you legal advice in this format, and no attorney/client relationship is formed between us. If you enter into a partnership agreement, it will be valid until the end of time unless you either terminate it in accordance with the termination clauses in the contract or on a date specified in the contract. If you are asking such a basic question, I urge you to seek representation by an attorney (just you, solely) prior to signing this agreement or any other agreement you may be considering.

Memorandum of Understanding
Colorado
When is it appropriate to use a memorandum of understanding?
I am discussing a partnership with another company and we will be doing a pilot before integrating our software. The other party has asked us to provide a partnership agreement. I read about memorandum of understandings and wanted to learn more about what they are used for.
Jane C.
You may use a Memorandum of Understanding when you want a written agreement that is less formal than a contract yet still outlines the terms of your partnership. How to ensure clarity in a partnership agreement?
I am looking to form a partnership with another individual. We are both going to be investing in the same business and want to ensure that our interests are well protected. We have drafted a partnership agreement but are not sure if it is clear enough. We want to make sure that there are no misunderstandings between us and that our interests are clearly defined. We need help to make sure that the partnership agreement is clear and unambiguous.
Darryl S.
Having an attorney review the current draft will provide an objective perspective on any gaps or areas lacking clarity in your agreement. Investing a little more upfront will prevent issues later should disputes arise. Please let me know if you need any other specific suggestions on strengthening your partnership agreement.

Settlement Agreement
Texas
Can I revoke a settlement agreement?
I recently entered into a settlement agreement with a business partner to end a dispute. However, I have since discovered that they did not fully disclose the terms of the agreement and I believe I have been deceived. I am now unsure if I should revoke the settlement agreement and pursue other legal options. Can I revoke a settlement agreement?
Darryl S.
This is a situation where fraud by the counterparty may possibly allow for revocation, but the agreement must be reviewed by legal counsel and the facts must establish a strong case.

Who manages a general partnership?
I am currently in a general partnership with another individual to run a business. While we share equal ownership and responsibility for the business, I am unsure of who has the authority to make management decisions on behalf of the partnership. I would like to seek the guidance of a lawyer to better understand the management structure of a general partnership and ensure that our business is being managed correctly.
O.T. W.
Your operating agreement should detail who has what responsibilities between the two of you, and it should establish checks and balances for each of your roles.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
