I am an attorney with over 13 years experience licensed in both Illinois and Indiana. I spent the early part of my career as a civil litigation attorney. Eventually, I moved into an in-house role, specifically as general counsel, to help companies avoid the pains of litigation. In doing so, I gained significant experience in executive leadership, corporate governance, risk management and cybersecurity/privacy. I bring this wealth of experience to my client engagements to not only resolve the immediate issue, but help implement lasting improvements in practices to avoid similar problems going forward.

I attended the University of Illinois- College of Law on a full merit scholarship. While in law school, I was a 711 Attorney at the Lake County State's Attorney's Office, specializing in traffic and misdemeanor cases. After graduation, I served as in-house counsel for one of the largest insurance companies in the world, managing thousands of cases from initial intake to trial. Upon leaving this position, I accepted a role as Legal Counsel to the Illinois Senate Minority Leader. There, I advised Senators on legislative matters, labor and employment law, and complex constitutional questions. After leaving public service, I accepted a role at a mid-size Chicago-based law firm, where I practice insurance defense and litigation. In addition to this, I also serve as outside general counsel to a food brokerage business, where I handle all of their labor and employment matters.

Cease and Desist

Illinois

Asked on Jan 14, 2022

I am looking for an attorney to write a Cease of Desist letter.

I had a verbal agreement with the video editor to edit a documentary. Per the video editor, the agreement was that he would edit the videos and complete the documentary, and if I liked it, I would pay him, and if I didn't like it, I didn't have to pay him. I gave him the script for an hour-long video. He completed a two hours video; he did not use the script; he put whatever he wanted, and now he wants me to pay him triple the amount of money we agreed. Now he is threatening me if I don't pay him; he will publish all the videos online and put on all social media that I did not pay him. I agreed to pay him the amount previously discussed, never said I wasn't going to pay him.

Illinois

Asked on Sep 8, 2021

My manufacturer is in China, do you write contract agreements for the sales of my products?

I have a patent pending on my product. I have one product being made into a sample now with a China manufacturer. They are also developing another new product to work along with the initial product. I need an attorney to write up a contract license agreement for the sales and distribution of my products. I am in the process of developing a trademark to put all my products under.

Limited Liability Company Agreement

Michigan

Asked on Feb 8, 2022

How should i set up my llc in Michigan for real estate development company

Im starting a Michigan llc will be a real estate development company will employ 100s eventually

David H.

Answered Mar 18, 2022

Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. Please let me know if you would like assistance in setting up your LLC that is a service I can help with. There are State filing documents, setting up a tax ID number with the IRS, then setting up an operating agreements. Those are some of the basics. I can walk you through those or I can do the work for you to set up the agreements and file the paperwork. Please let me know if you're interested in utilizing my legal services. Thank you for the opportunity answer your question. Attorney Dave.

Business Contract

Washington

Asked on Sep 21, 2023

Penalty for breaking a business contract?

I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. I would like to know what the legal consequences may be for a breach of contract, so I can make an informed decision about entering into the agreement.

Merry A.

Answered Sep 23, 2023

Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.

Business Services Agreement

Iowa

Asked on Oct 20, 2023

If a service agreement is cancelled after 30 day notice does the payment terms agreement become invalid even if it was agreed to be for 15 months

I clean for a living I had contracted clients for office buildings they can't have 30 day notice for nothing but our terms state they will pay for 15 terms on first.of each month but stated would only pay have half this month due to 30 ending mid.month however agreement says payment due on first of 1407. Or service on be suspended until payment but do they owe for the next 3 months regardless

Brad B.

Answered Nov 14, 2023

A contract is an agreement between parties on how they are going to conduct business with each other. What is written in the contract is crucial to being able to determine what the agreement of the parties truly is. Contracts are all about the words on the page and what they say exactly. A well-drafted contract will make the responsibilities of both parties very clear. A notice provision in a contract typically will say how much time a party has to give notice to the other party before the contract is terminated. This is different than what a term provision will say. For example, sometimes contracts will have language that says a contract cannot be terminated before the expiration of a certain time period. In that case, if one party terminates the agreement, full payment of the contract is still required to be made even if the service is not rendered. Other times, the term set forth in the agreement (e.g. 15 months) serves as a guarantee of price and other terms in the agreement. For example, "Contractor agrees to perform cleaning services to the Buyer for 15 months, at $XXX per month. At the end of the term, this contract will auto renew and will continue month to month until terminated by either party." Proration is a term that is used to describe when a partial payment can be made. If the contract does not allow for proration and instead gives a monthly payment, then the full monthly payment would be due. Contracts are all about what is written specifically in the contract. If terms are missing there can be interpretation of what the parties actually meant.
