My practice involves counseling businesses and individuals on a variety of contracts, such as business formation, technology/IP, real estate, leases, and even domestic relations agreements. Much of my practice is dedicated to litigation. As such, I approach contract and transactional work from a litigation perspective by advising clients of the risks involved in failing to develop proper contracts. It takes more than knowledge of the law to be a good lawyer. A good lawyer is honest and forthcoming with clients and has a counseling ethos. And, to me, a good lawyer stands in the shoes of the client when considering how to best serve that client. Whether my client is a business or an individual, I am passionate about helping my clients understand their rights, responsibilities, risks, and possibilities.

Service Contract

New York

Asked on Dec 16, 2021

Do I need to sign every page of a contract?

I am a legal intern and I have a query. Last week I recieved two Service Agreement contracts from two different content agencies. My company has decided to work with them and I was asked by a colleague today that is it important to get signatures on all the pages by both the parties or if they sign the last page is that enough? I was confused and I said get the signatures on the last page of the agreement that will be fine. Today I recieved both the agreements from the agencies and one agency has signed the last page and the other one has signed all the pages.

An attorney would have to review the agreements.

Business Contract

Connecticut

Asked on Mar 28, 2022

Would creating an investment LLC benefit me?

I am an active day trader (and may invest in real estate this year) so, would setting up an "investment LLC" be a benefit for me and help me lower my tax obligation when taking monthly profits as part of my "salary"? Should I include my wife as an employee and pay her as an expense? And, my sons, to a lesser degree? Would Capital gains be calculated differently if I just invested as an individual? Is an LLC the best corporate type of filing? Thank you, Peter F.

Jane C.

Answered Apr 29, 2022

I suggest you consult with an attorney and speak to your accountant as to how to best structure the set up.

Business Partnership Agreement

North Carolina

Asked on Sep 29, 2023

Can I withdraw from a business partnership agreement?

I am currently in a business partnership agreement with a colleague, and I am considering withdrawing from the partnership. We have been in the agreement for over a year and our goals and objectives have changed. I am looking for legal advice on the steps I need to take to withdraw from the agreement, and the potential legal implications of doing so.

N'kia N.

Answered Oct 9, 2023

Below is a general overview of how the process of a partner withdrawing from a partnership commonly plays out: The withdrawing partner gives written notice of withdrawal. The parties obtain business valuations to determine payout terms. The parties execute some type of withdrawal or buyout agreement that states rights, responsibilities, and restrictions (such as non-competition and non-disclosure/confidentiality), and other important terms of the deal. A partner who is considering withdrawing from the partnership should consider consulting with a knowledgeable attorney who can review the Partnership Agreement and the terms of a proposed withdrawal or buyout agreement, and either guide the partner through handling the process without representation or represent the partner through the withdrawal. Additionally, the partner might consider consulting with a tax professional regarding tax liabilities. [It is often beneficial for the partner to seek assistance from an independent attorney or tax professional, rather than one who represents the partnership or another partner.]

Letter of Intent

Nevada

Asked on Nov 23, 2021

What do I need for a letter of intent?

I have recently started a brand new online business, still in the stages of receiving all my licenses and website. I am trying to attend a Las Vegas fashion trade show called Magic, and to register, I need a letter of intent on official letter head from an attorney. Stating intent, type of business, and anticipated start date. I was wondering if thats something any attorney can do, and what documents you would need to do official letter of intent. Thank you.

Jane C.

Answered Dec 31, 2021

Yes. A lawyer can assist you with a letter of intent. Schedule a consult.
