Do I need a user agreement for my business?

I’ve recently started my business which is a web-based sentimental message delivery company. Essentially my business allows people to upload written, Audio, and video files to my website (data warehouse is managed through Amazon Web Services), for these messages to be delivered to their intended recipients at a later date in the future or after they pass away. I intended to manage the post-life part by asking the customers to submit their DOB, full name, and most recent address, as we plan to run regular scans against the SSA’s death master. I realize that this is personal information, that may fall under HIPAA penalties. My Amazon expert recommended a user agreement so I’ve been reading up on them, and I just want to confirm this is the appropriate approach. Is this considered a form of misinterpretation leading to a breach of contract ?

I LIVE IN FLORIDA AND I NEED A LAWYER WHO PRACTICES IN THE STATE OF NY TO REVIEW A EQUIPMENT RENTAL CONTRACT THAT WAS SIGNED AND AGREED UPON FOR JULY 30,2022 IN BROOKLYN, NY. THE LOCATION OF THE EVENT WAS RELOCATED DUE TO UNFORESEEN CIRCUMSTANCES. THE NEW LOCATION WAS ONLY 2.5 MILES AWAY FROM THE ORIGINAL LOCATION. I NEEDED TO CHANGE THE TENT SIZE TO A SIZE THAT CAN FIT INTO OUR NEW FACILITY. WAS NO LONGER NEEDED BUT SERVICES AND OTHER CONTRACTED EQUIPMENT WERE STILL NEEDED. COMPANY STATES SINCE I WANT TO DOWNSIZE THE TENT I AM CANCELING WHICH IS NOT THE CASE. I ADVISED THE OWNER ABOUT HIS ASSISTANT MISLEADING ME INTO BUYING A SMALLER TENT THAN WAS NEEDED. THE TENT HAS A CAPACITY OF ABOUT 500 PEOPLE ONLY, BUT I WAS TOLD THAT 1200 PEOPLE CAN FIT. I HAVE ATTEMPTED TO WORK WITH THE OWNER AND HAS REFUSED TO WORK WITH ME AND HAS FOUGHT THE TWO DISPUTE CLAIMS I HAVE MADE WITH THE BANK. OWNER CXLD CONTRACT AND STATES THAT I CANCELLED IT BY WANTING TO MAKE A CHANGE TO THE TENT. NOWHERE ON THE CONTRACT STATES CHANGES CAN’T BE MADE. I SPENT $9,298.00 AND I HAVE NOTHING TO SHOW FOR IT. THE CONTRACT IS VERY AMBIGUOUS. CAN THIS BE CONSIDERED A BREACH OF CONTRACT WITH THE MISINTERPRETATION OF THE TENT?

I am a business owner looking to purchase a company that is currently owned by another individual. I have received a stock purchase agreement and am looking to understand the stock transfer restrictions associated with the agreement. I am hoping to understand the restrictions that will be placed on me as part of the agreement, as well as any restrictions that the current owner may have to abide by.

Generally, the common restriction is a right of first refusal, meaning if you later sell the stock, you have to allow the prior owner an opportunity to buy the stock back. In contrast, you would usually impose a non-compete on the seller.

Amending a contract, including an independent contractor agreement, usually takes three main steps: First, to amend a contract, the parties must usually agree to new terms. This sometimes requires the parties to negotiate. Second, when the parties to an agreement memorialize it in a written contract, they typically must also sign a written document to amend it. This means that they will need to draft an amendment that accurately reflects the proposed amendment(s). Third, once the parties have drafted an amendment that they are comfortable with, each will sign and will usually receive a signed copy of the fully executed contract amendment. However, note that amending some contracts can be much more complex. For assistance with negotiating or drafting a contract amendment, including for an independent contractor agreement, you should contact a knowledgeable attorney practicing in the appropriate jurisdiction. I am a business owner in the process of signing a contract with a new vendor. We have agreed on the terms of the contract, but I am concerned about the confidentiality clause. I need to ensure that the vendor is not able to share the details of the contract with other businesses or individuals that could potentially be in competition with us. I want to know what can be done to ensure that the confidentiality clause of the contract is enforced.

A business might use a non-disclosure agreement (sometimes called an "NDA," a "Confidential Disclosure Agreement," or a "CDA") to prevent others from disclosing its confidential information. Confidential information includes the business' trade secrets, as well as other proprietary information that does not constitute trade secrets. Generally, there are two main types of non-disclosure agreements. In a unilateral non-disclosure agreement, one party agrees not to disclose the other party's confidential information. In a mutual non-disclosure agreement, both parties agree not to disclose each other's confidential information. It is usually best to execute a non-disclosure agreement prior to the disclosure of confidential information. Disclosed information cannot be un-disclosed. Also, a party that has already received confidential information without restrictions might have little to no incentive to sign a non-disclosure agreement after the fact.
