Individuals who can sign the employer's side of an I-9 document are any authorized representative of the company. The DHS does not require the representative to have a specific agreement authorizing them to do so. Your company would be held liable for any violations. The person who signs a W9 must be a "U.S. person." That means that the signer must be an individual who is a U.S. citizen or a U.S. resident alien. The signer should have the organization's consent to sign a W9 on its behalf, but consent can be oral or implied. There is no requirement that a company create a written authorization to sign a W9.

We are in the process of drafting a Noncompete Agreement to ensure that neither of us will compete against each other in the same market. We are looking for advice on what should be included in the agreement and how it should be enforced.

The one thing to make sure with noncompete agreements is that it is reasonable in terms of duration and the area you cannot compete in. Courts use a reasonableness test to determine whether a noncompete agreement is valid. If provisions are deemed to be unreasonable and fail the test, they could be altered or struck out of the agreement.

Is a demand letter legally binding?

I recently received a demand letter from a former business partner who is claiming that I owe them money. This demand letter states that I must pay the amount specified by a certain date or face legal action. I am concerned about the legal implications of this demand letter and want to know if it is legally binding.

Technically, the demand letter has no legal impact. It simply represents an offer to resolve a dispute via an out-of-court settlement under the threat of litigation. In your case, it appears from your description that your former business partner has demanded that you pay the disputed amount by a certain date or else s/he will commence a lawsuit against you. It is, of course, possible that even if you do not pay the amount demanded, your former business partner would decide not to pursue the lawsuit--in other words, it could be a bluff. However, if you call the bluff and ignore the letter, and your former business partner sues you, it could become a much more expensive problem for you. I would therefore strongly recommend that you retain an attorney to advise you and respond to the letter.
