Quick Facts — Unsecured Loan Agreement Lawyers

What is an Unsecured Loan Agreement?

An unsecured loan agreement is a legal contract between a lender and a borrower that agrees to fund a loan without requiring collateral. Most of the time, when a borrowers creditworthiness indicates that they pose a low risk for defaulting on a loan, lenders agree to fund a loan request without requiring personal property to back it up. This means that a borrower is allowed funding based purely on their financial history.

Even though no collateral can be seized to satisfy an outstanding balance if a borrower defaults, an unsecured loan agreement typically offers alternative methods of recovery. For example, borrowers who default on unsecured loans can still be pursued in court to pay back the amount borrowed plus any applicable fees.

Aircom Pacific, Inc., a California corporation, as borrower (the “Borrower”); and

EESquare Superstore Corp., a California corporation, as lender (the “Lender”),

who make this Agreement on the following terms:

1.Subject of the Agreement

1.1The Lender agrees to make loans (individually an “Advance” and collectively the “Loan”) to the Borrower for its working capital needs. Each Advance and the amount of the Loan outstanding shall be denominated in US Dollars and the maximum amount of the Loan advanced and not repaid at any time shall not exceed $1,500,000 (one million five hundred thousand) US Dollars (“Maximum Loan Amount”).

1.2This Agreement shall remain effective for two years up to April 15, 2022. This Agreement is renewable upon mutual agreement.

1.2The Borrower may repay all or any portion of the Loan at any time or from time to time, provided that the unpaid balance of each Advance shall be due and payable in full no later than one year from the date of such Advance or the termination of this Agreement, whichever comes first (each such date being a “Termination Date”). Amounts repaid may not be re-borrowed.

2.Loan Drawdown

2.1The Borrower may receive the Loan in one or more Advances upon delivery of an Advance Request in the form attached to this Agreement as Exhibit 1 no later than one Business Day before the date of the requested Advance (the “Advance Date”) as long as, after giving effect to the requested Advance, the amount of the Loan advanced and not repaid will not be greater than the Maximum Loan Amount.

2.2As used in this Agreement, “Business Day” means a day on which banks in the California are open for dealings in US Dollars in the interbank market.

6.Defaults and Events of Default

6.1The occurrence of any of the following events shall constitute an “Event of Default”:

6.1.1Any representation or warranty made or deemed made in or in connection with this Agreement proves to have been false or misleading in any material respect when so made or deemed made and such misrepresentation continues unremedied for 30 days after the Borrower’s receipt of written notice thereof from the Lender; or

6.1.2The Borrower fails to make when due any payment required under this Agreement and such failure continues unremedied for 30 days after the Borrower’s receipt of written notice thereof from the Lender; or

6.1.4An Act of Insolvency occurs in relation to the Borrower; or

6.1.5The Borrower becomes bankrupt or insolvent as defined in any bankruptcy or insolvency law applicable to it; or

6.1.6The Borrower fails to pay or is otherwise unable to pay its debts as they become due.

6.2As used in this Agreement, “Default” means any event or circumstance which, with notice and/or the passage of time, would constitute an Event of Default, and “Act of Insolvency” means the occurrence of any of the following events:

(ii)the entering of an order, judgment or decree by any court of competent jurisdiction, on the application of a creditor adjudicating the Borrower as bankrupt or insolvent or approving a petition seeking reorganization or appointing a receiver, trustee, liquidator, administrative receiver, administrator, compulsory manager or other similar officer over all or a substantial part of the Borrower’s assets, and such order, judgment or decree continuing unstayed and in effect for a period of 90 days; or

(iii)the consent to an involuntary petition in bankruptcy or the failure to vacate, within 90 days from the date of entry thereof, any order approving an involuntary petition by the Borrower.

Kenneth E. Gray, Jr. is a business and tax attorney who advises entrepreneurs, investors, and closely held companies on transactions, tax planning, disputes, and long-term wealth structuring. He focuses on helping clients make legally sound decisions that also make business sense. Ken’s practice includes business formation and restructuring, mergers and acquisitions, private investments and fundraising transactions, contract drafting and negotiation, and cross-border matters. He also maintains a significant tax practice, advising on federal and state structuring, specialty filings (including partnership, corporate, and non-resident matters), and representing clients in disputes before the U.S. Tax Court and other federal and state tribunals. In addition to his transactional work, Ken handles commercial and business litigation, including tax controversies, financial disputes, and partnership matters. Ken also advises individuals and families on estate planning, trust formation, tax-efficient wealth transfer strategies, and probate administration, including planning involving closely held businesses and foreign assets. Before practicing law, Ken worked in banking and private equity, including managing a $5 billion emerging markets fund-of-funds portfolio at the U.S. Overseas Private Investment Corporation (OPIC) and serving in equity research at ABN AMRO. That financial background allows him to understand transactions from both the legal and capital perspective. He holds a J.D. from Georgetown University Law Center and an MBA from Yale University. He practices before the U.S. Tax Court, various state courts, and other federal courts.

"It is not easy to find a lawyer that knows Offshore Asset Protection Trusts, which own a foreign LLC, which owns a USA LLC. Fines could reach $100K if the tax forms are incorrect, or not filed. He was able to review my draft returns and provide memos with required changes (many, many changes), after 1 follow-up everything was basically done other than a few tiny edits. I really appreciated how he worked me in, right in the busiest time of tax season, to ensure there were no errors. Would definitely hire again."

Dan C. Pelletier is a New Jersey real estate attorney with 29 years of legal experience and the founder of Ocean Avenue Land & Legacy, an Asbury Park based real estate and estate planning practice. Dan’s practice focuses on commercial leasing, real estate transactions, property transfers and estate planning. He has substantial experience reviewing, drafting and negotiating commercial leases and other real estate agreements, with commercial leasing experience extending back through his work with Riley Riper Hollin & Colagreco and subsequent real estate and investment work. Throughout his career, Dan has worked on real estate from several perspectives—as outside counsel, transactional attorney and asset manager. That background allows him to approach a lease or transaction not simply as a document to be marked up, but as a business arrangement requiring a practical assessment of risk, economics and the parties’ respective obligations. For commercial lease clients, Dan focuses on identifying the provisions that materially matter: rent and additional rent obligations, operating expenses and CAM charges, repair and maintenance responsibilities, insurance and indemnification, permitted use, assignment and subletting, options, guarantees, default remedies, casualty, condemnation and termination rights. His broader real estate practice includes purchase and sale agreements, deeds and property transfers, ownership and entity issues, and related contract matters. Dan also assists New Jersey clients with straightforward estate and legacy planning, including wills, powers of attorney, healthcare directives, revocable trusts and planning involving real property. Dan founded Ocean Avenue Land & Legacy to provide experienced legal counsel in a practical, accessible manner. His approach is direct: understand the client’s objective, identify the meaningful risks, explain them clearly and develop a workable path forward.
