Are templates for independent contractor agreements okay?
I am an independent contractor and am currently in the process of negotiating a new agreement with a client. I am trying to understand the implications of using a template agreement, as opposed to having an agreement written specifically for our situation. I want to ensure that I am protecting my interests and that the agreement is legally binding.

If you are considering using a template for your independent contractor agreement, you should view it as a starting point. It can be a good way of finding boilerplate provisions that are going to be in just about every agreement. Unfortunately, because they are templates, you run the risk of leaving out important details that may apply to your situation. Additionally, the template might not go far enough in protecting interests that you specifically need to have protected. Think of it this way. Template agreements are usually so general, they will probably be valid in almost every state. Consequently, by being general, they usually leave out key details that would apply in your situation but not in other contractors' situations. You should always consider having an attorney review your agreement to make sure that the agreement meets your legal needs and that it is legally binding in your state.

Penalty for breaking a business contract?
I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. I would like to know what the legal consequences may be for a breach of contract, so I can make an informed decision about entering into the agreement.

Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.

I am a freelancer looking to take on temporary projects. I am currently in the process of creating a business contract for these projects, but I am unsure of what to include in the contract or what rights and responsibilities I should include for both parties. I would like to understand the legal implications of such a contract and ensure that I am adequately protected.

You should have a simple template that can be used for multiple projects. The key terms to include are: - Contract period - Your specific responsibilities and deliverables - Fees and payment terms - Who owns the work - Non-disclosure clauses - Termination rights (for both parties) if things don't go well - Indemnification (i.e. if something goes wrong, who is responsible for what) This can be a relatively simple contract that can be revised quickly and for multiple clients. One thing to note is that companies will typically prefer to use their own vendor contracts, so you might end up having to review and use their contract instead of yours.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
