Most of my career has been as in-house counsel for technology companies. My responsibilities included managing all vendor/procurement contracts and compliance, customer/partner/reseller contracts and compliance, data security/privacy compliance and incident responses, HR/employment issues, and legal operations. I am very comfortable negotiating Commercial Contracts, Vendor Agreements, and Procurement Contracts for goods, services, and licensing, as well as addressing Employment & Labor, Intellectual Property, and Data Privacy issues and compliance. I specialized and have a certificate in IP in law school and continued to develop in that area as in-house counsel for Interactive Intelligence, Genesys, which are unified communication companies, and KAR Global in the automobile digital services lines of business.

John B.
I am an attorney with over 13 years experience licensed in both Illinois and Indiana. I spent the early part of my career as a civil litigation attorney. Eventually, I moved into an in-house role, specifically as general counsel, to help companies avoid the pains of litigation. In doing so, I gained significant experience in executive leadership, corporate governance, risk management and cybersecurity/privacy. I bring this wealth of experience to my client engagements to not only resolve the immediate issue, but help implement lasting improvements in practices to avoid similar problems going forward.

Software Agreement
North Carolina
Software agreement and customizations?
I am a small business owner who is interested in entering into a software agreement with a third-party software provider. The software agreement outlines the terms of use, ownership, and licensing of the software. However, I am unsure of what customizations are allowed under the agreement and would like to know what modifications can be made without voiding the agreement.
Nicholas M.
There are no universal software agreements, and the answer to your specific question will lie within the terms of the agreement. However, if I were writing a software agreement for a company, I would prohibit all customization and modification of software by end users, without a specific developer license agreement and the right to incorporate the changes into my final product, with our without compensation. As they say, your mileage may vary.

Independent Contractor Agreement

How are taxes covered in a contractor agreement?
I am an independent contractor that recently signed an agreement with a client. I am looking to understand how taxes are covered in the agreement, as I am unsure if the client is responsible for paying my taxes or if I am responsible for taking care of them myself. I want to make sure I am in compliance with all tax regulations and that my agreement accurately reflects this.
N'kia N.
Independent contractors are separate ("independent") from the recipients of their services ("clients"). Clients do not make payroll deductions and withholdings from their independent contractors' pay like they would for their employees' pay. Rather, independent contractors are responsible for handling their own taxes. Ideally, independent contractors should have ongoing tax support to help ensure compliance with the tax regulations, as well as legal support of a knowledgeable attorney to review or help negotiate contract offers.

If a service agreement is cancelled after 30 day notice does the payment terms agreement become invalid even if it was agreed to be for 15 months
I clean for a living I had contracted clients for office buildings they can't have 30 day notice for nothing but our terms state they will pay for 15 terms on first.of each month but stated would only pay have half this month due to 30 ending mid.month however agreement says payment due on first of 1407. Or service on be suspended until payment but do they owe for the next 3 months regardless
Brad B.
A contract is an agreement between parties on how they are going to conduct business with each other. What is written in the contract is crucial to being able to determine what the agreement of the parties truly is. Contracts are all about the words on the page and what they say exactly. A well-drafted contract will make the responsibilities of both parties very clear. A notice provision in a contract typically will say how much time a party has to give notice to the other party before the contract is terminated. This is different than what a term provision will say. For example, sometimes contracts will have language that says a contract cannot be terminated before the expiration of a certain time period. In that case, if one party terminates the agreement, full payment of the contract is still required to be made even if the service is not rendered. Other times, the term set forth in the agreement (e.g. 15 months) serves as a guarantee of price and other terms in the agreement. For example, "Contractor agrees to perform cleaning services to the Buyer for 15 months, at $XXX per month. At the end of the term, this contract will auto renew and will continue month to month until terminated by either party." Proration is a term that is used to describe when a partial payment can be made. If the contract does not allow for proration and instead gives a monthly payment, then the full monthly payment would be due. Contracts are all about what is written specifically in the contract. If terms are missing there can be interpretation of what the parties actually meant.

Terms and Conditions

Can users contest terms and conditions?
I recently started an online business and I am in the process of creating the terms and conditions for my website. I am concerned that users may contest the terms and conditions, and I am looking for advice on how I can ensure that my terms and conditions are legally binding. I would also like to know what the consequences are for users who breach the terms and conditions.
Merry A.
Users can contest anything - the question is would they win. I urge you to get legal advice from a qualified attorney before imposing or changing terms and conditions - I see you have a lot of questions about TOC, and you're not going to get proper legal advice/guidance/review just by posting questions. (And, no, please do not ask for me - this is a specialized field, and I'm not qualified or experienced to help you, much as I would like to).
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
