What contracts do I need for my business?
Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

How to terminate a business purchase agreement?
I am in the process of purchasing a business, and I am currently reviewing the purchase agreement. I have noticed that the agreement does not specify how to terminate it and I am looking for guidance on how to properly terminate the agreement if I decide to do so. I am also interested in learning what the potential legal consequences of such a termination would be.

A North Carolina business purchase agreement typically includes due diligence. During due diligence, the buyer has the opportunity to explore the deal and investigate the business to be purchased. The buyer is usually allowed to terminate a business purchase agreement during the due diligence period simply by providing proper notice to the seller. Upon terminating a business purchase agreement during due diligence, the buyer is usually not entitled to a refund of a due diligence fee but might be entitled to a refund of a deposit. There are also several other termination options that could be included in a business purchase agreement. To avoid conflict and confusion, ideally, a contract should clearly articulate how it can be terminated. I am a small business owner and I have been asked to sign an independent contractor agreement. I am curious to know if non-disclosure agreements (NDAs) are included in such agreements or if they are separate documents. I am interested in understanding my legal obligations and responsibilities in this situation.

A non-disclosure agreement (sometimes called an "NDA," a "confidential disclosure agreement," or a "CDA") is a common component of an independent contractor agreement. Whether it is included in the independent contractor agreement or is a separate document does not, in and of itself, affect the enforceability or validity of an NDA. However, it must be clear how a separate NDA is part of an overall deal. An independent contractor with a valid and enforceable NDA is obligated to comply with its terms and conditions. For example, the NDA might prohibit the independent contractor from disclosing confidential information to others or might require the independent contractor to comply with certain standards for maintaining confidentiality. An independent contractor who violates an NDA could be liable to the other party for monetary damages. For example, the NDA might require the contractor to pay the other party a predetermined amount of money or a court could order the contractor to pay the other party another amount. A North Carolina attorney who is knowledgeable of independent contractor agreements and NDAs should be able to assist with these, whether they are combined or are separate documents.
