Asset Purchase Agreement
Texas
How does an asset purchase agreement work with debt?
I am buying a business and want to use an asset purchase agreement based on what I've read, but I believe the company has debt. How does this work? Will I also be buying the debt? Any help is appreciated
Michael S.
Good morning. With the caveat that I am a Pennsylvania attorney, as the buyer, you do want to buy the assets and not the company. The drafting of the purchase agreement is critical, ensuring that you are not responsible for existing debt. You will also want to obtain an indemnification from the seller, to make sure you are protected in case any of the creditors come after you. Obviously, the details of the deal may complicate things, but that is the gist.

LLC Operating Agreement
Texas
Does a single member llc need an operating agreement?
I'm in Texas. I know operating agreements aren't required everywhere.
CRAIG C.
Texas has no requirement for an operating agreement. However, I generally advise all LLCs to have one. If nothing else, it assists as part of the "paper trail" in proving that the LLC was a separate entity from the sole member and helps to maintain liability protection.

What happens to LLC when member dies?
I want to create an operating agreement that explains what happens with the business in case one of the members died. We have an LLC. We want to create an operating agreement that states how the business will keep working in case one of our members dies.
Forest H.
There are provisions to add to an operating agreement to address the death or incapacity of a member. Feel free to contact me if you would like to discuss how to move forward.

ESOP - employee share option plan
Hello! My company provide me a fixed amount ($10,000) of equity within 4 years, with 25% vested after 12 months and said "The options will have a “strike price” which is based on the market value of the Company at the time your options are issued to you." What does it mean? Will i need to pay the different price every year?
Michelle F.
Would really need to see the documents to properly answer this question. Is the value of the equity fixed at $10,000? Typically you get a number of shares that vest (become available to you) over x amount of time. The strike price is the amount you will pay to the company to exercise the option. (Disclaimer: This is not legal advice.)
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
