Stock purchase agreement and post-closing obligations?
I am looking to purchase a business and I recently received a Stock Purchase Agreement from the seller. I am concerned about my post-closing obligations, such as continuing to fund the business or other contractual obligations, and would like to understand what these obligations are before I commit to the purchase. I would like to know what I should be aware of and what risks I may face if I accept the agreement.
Daniel R.
I would focus on: What obligations do you have under the reps and warranties? Is there an escrow holdback? Is there any liabilities staying with you.

What is a limited partnership agreement?
Being asked to sign one and not sure what it is. I'm trying to create a partnership with a few of my colleagues and I'm concerned about the word 'limited'.
Michael S.
We really need to know more about the business and how everyone envisions ownership in order to answer the question. In general (and this is very general - I am a PA lawyer, not Tennessee), a limited partnership is an entity through which a business or property is owned. In a limited partnership, you need to have a general partner (either one more individuals or entities) who essentially manage the entity, and also have liability for all liabilities of the general partnership. The limited partners invest in the entity, but have no liability for the entity's obligations.

How is management structure set post-formation?
I am in the process of forming a Limited Liability Company (LLC) and I am looking to understand how the management structure will be set up post-formation. I have a business partner who will be a co-owner of the LLC and I am interested in learning the best way to ensure that both of our interests are represented in the management structure. Furthermore, I am interested in learning what type of documentation will be needed to ensure that our management structure is properly set up and in compliance with applicable laws.
Sarah S.
When forming a Limited Liability Company (LLC) with a business partner, it's crucial to establish a clear and effective management structure to represent both of your interests. To do so, you should create an Operating Agreement, a customizable document that outlines the management structure, ownership percentages, and roles and responsibilities of each member. You can choose between a member-managed or manager-managed LLC, depending on your and your partner's roles and preferences. Defining ownership percentages, management responsibilities, voting rights, meeting procedures, and compliance with state laws is essential. Legal counsel should be consulted to draft the Operating Agreement and ensure compliance with specific state regulations, and it's important to regularly review and update the document to adapt to changes as your business evolves.

ESOP - employee share option plan
Hello! My company provide me a fixed amount ($10,000) of equity within 4 years, with 25% vested after 12 months and said "The options will have a “strike price” which is based on the market value of the Company at the time your options are issued to you." What does it mean? Will i need to pay the different price every year?
Michelle F.
Would really need to see the documents to properly answer this question. Is the value of the equity fixed at $10,000? Typically you get a number of shares that vest (become available to you) over x amount of time. The strike price is the amount you will pay to the company to exercise the option. (Disclaimer: This is not legal advice.)
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project.
