Individuals who can sign the employer's side of an I-9 document are any authorized representative of the company. The DHS does not require the representative to have a specific agreement authorizing them to do so. Your company would be held liable for any violations. The person who signs a W9 must be a "U.S. person." That means that the signer must be an individual who is a U.S. citizen or a U.S. resident alien. The signer should have the organization's consent to sign a W9 on its behalf, but consent can be oral or implied. There is no requirement that a company create a written authorization to sign a W9.

Do beta testers need a special terms of service?
I am currently developing a software product and I am looking to have beta testers test out the product. I want to ensure that I have all the necessary legal documents and agreements in place before I allow any beta testers to access the product. I am wondering if beta testers need a special terms of service that is different from the standard terms of service agreement that would be given to customers when they purchase the product.

In both instances, you should incorporate some type of non-disclosure agreement. For beta testers, you need to address whether you are paying the beta testers in any way, shape, or form, such as a discount for the final software.

LLC formation is state-specific, as there is no federal formation process. Each state can establish its own laws, including those related to state taxes, for an LLC operating there. However, an LLC must also comply with any applicable federal laws. Making the change isn't hard and is a filing with the IRS. However, you are going to need to talk with someone (tax attorney or CPA) about potential tax consequences for any properties already owned by the LLC.

Hi. This is a difficult question in terms of application and practicality. There is nothing in the LLC laws that prevent a minor from owning an LLC in Pennsylvania. However, the minor may not have capacity to sign a binding agreement such as the documents necessary to create an LLC. More than likely an option to consider may be to have a parent form the LLC and grant the minor an ownership interest through an operating agreement. However, each situation may be different and I urge you to contact legal counsel to discuss your specific circumstances.
