Quick Facts — Articles of Incorporation Lawyers

What are Pennsylvania Articles of Incorporation?

Pennsylvania articles of incorporation is a formation document that must be filed with the Pennsylvania Department of State to legally establish a new corporation. Articles of incorporation serve as legal proof that your business has been registered with the state and in compliance with all business laws.

Once articles of incorporation are filed, you can run your business as corporation which includes distributing shares, drafting corporate bylaws, and appointing a board of directors.

Corporations provide shareholders and directors several benefits and it is a very popular business structure for new companies. Some benefits of establishing a corporation include:

  • Limited liability protection
  • Tax benefits and flexibility
  • Ability to raise capital for expansion
  • Additional business credibility

Due to his technical expertise and a clear understanding of business rules, he was soon brought on board to help assist those companies with coding their interface for the Y2K switch. Soon after switching his major to business, Mr. Kaplun worked for a telecommunication service company first in quality assurance and then as a database programmer and developer, with sole and exclusive responsibilities for a multitude of warehouses located around the continental United States. Working on-site and from the company headquarters, he was responsible for streamlining processes for internal departments while fulfilling the quickly changing needs to the company clients, most notably Verizon Wireless. Mr. Kaplun opened his practice in 2008. Prior to starting his practice, he worked as a paralegal instructor for Prism Career Institute, creating the lesson plans for the whole program and focusing his instruction on substantive and procedural laws for general practitioners. Mr. Kaplun also worked as an associate for The Law Office of Keith Owen Campbell PC, focusing on Family and Matrimonial Law, and assisted the law firm of Jeffrey Neu and Associates in securities research as well as various contact and sales agreements, mainly online reseller agreements. He currently focuses his energy on representing individuals and companies in liability insulation, contracts and business agreements, and other legal concerns that crop up in the regular operation of doing business.

Asked on Dec 8, 2024

Can the Articles of Incorporation be amended to change the purpose of a nonprofit organization?

I am a board member of a nonprofit organization that was established with a specific purpose outlined in our Articles of Incorporation. However, due to changing circumstances and the evolving needs of our community, we are considering amending the Articles of Incorporation to expand our organization's purpose. We want to know if it is legally possible to make such changes to the Articles of Incorporation and if there are any specific requirements or procedures we need to follow in order to do so.

Damien B.

Answered Dec 9, 2024

Hello! My name is Damien Bosco, Esq. My law office is located in Long Island City across from Manhattan. A not-for-profit corporation may amend its Certificate of Incorporation from time to time by filing a Certificate of Amendment under Section 803 of the Not-for-Profit Corporation Law. The document may contain any information originally included in a Certificate of Incorporation (name change, revision to the purpose clause, etc.). Because you plan to alter the corporation's purpose, you must review Section 804 to ensure you obtain the necessary consent. If you need a consultation or help with this, feel free to reach out. Best regards.

Bruce B.

Answered May 27, 2022

Yes. Many businesses choose to incorporate in Delaware because Delaware has favorable laws to business entities as well as a detailed history of how cases will by decided by their courts. For this reason Delaware is a good option to consider for incorporation. You can then register with the State of Florida as a foreign corporation doing business in Florida.

Asked on Mar 30, 2021

Does an LLC need articles of incorporation?

I am considering forming an NY LLC and am doing a bit of research.

Ramsey T.

Answered Mar 30, 2021

LLCs are not technically "companies" or "corporations" and therefore they are not formed by filing Articles of Incorporation. Corporations are formed when you file Articles of Incorporation. LLS are formed by an "Organizer" who files a Form of Organization or Articles of Organization with a state. LLCs actually are "hybrids" with characteristic of companies in some ways and of partnerships in other ways.
