  3. In the menu on the right, click “Registration Forms”.

Does Pennsylvania Require Articles of Incorporation?

Yes. In Pennsylvania articles of incorporation are mandatory to establish a new corporation. Pennsylvania also requires the following forms to accompany the articles of incorporation:

  • One copy of a completed form DSCB:15-134A (Docketing Statement)
  • Any necessary copies of form DSCB:19-17.2 (Consent to Appropriation of Name)
  • Any necessary governmental approvals.

These forms should be submitted together with the articles if incorporation along with the appropriate filing fee.

How Do I Fill Out Articles of Incorporation in Pennsylvania?

All articles of incorporation in Pennsylvania must include the following information:

  • Corporate name. All corporate names must include a corporate ending like “incorporated” or “limited”. Abbreviated corporate names like “inc.” are permitted.
  • Registered office address. The address must be a physical location, not a PO box. It must be located in Pennsylvania.

Yes. Many businesses choose to incorporate in Delaware because Delaware has favorable laws to business entities as well as a detailed history of how cases will by decided by their courts. For this reason Delaware is a good option to consider for incorporation. You can then register with the State of Florida as a foreign corporation doing business in Florida.

A not-for-profit corporation may amend its Certificate of Incorporation from time to time by filing a Certificate of Amendment under Section 803 of the Not-for-Profit Corporation Law. The document may contain any information originally included in a Certificate of Incorporation (name change, revision to the purpose clause, etc.). LLCs are not technically "companies" or "corporations" and therefore they are not formed by filing Articles of Incorporation. Corporations are formed when you file Articles of Incorporation. LLS are formed by an "Organizer" who files a Form of Organization or Articles of Organization with a state. LLCs actually are "hybrids" with characteristic of companies in some ways and of partnerships in other ways.
