Is a Non-Compete Agreement Enforceable in Pennsylvania?

Yes. Non-compete agreements can be used by employers in Pennsylvania to protect confidential business information from prior employees.

The Supreme Court of Pennsylvania established specific requirements that must be met by all non-compete agreements in order for the contracts to be legally enforceable. These requirements include:

  1. The contract must be between parties that have an employment relationship.
  2. The restrictions are reasonably necessary to protect the employer’s interests.
  3. The restrictions are reasonable in regard to duration and geographic area.

Courts in Pennsylvania will also used a test called the “balance test” to determine whether a non-compete agreement is reasonable. Courts will consider the balance between the protection the non-compete affords the employer with the effects the agreement has on an employee attempting to earn a living.

How Long Does a Pennsylvania Non-Compete Agreement Last?

Courts in Pennsylvania have determined that two years is a reasonable amount of time for a non-compete agreement to last. Non-compete agreements can be made for longer, however if challenged, they are more likely to be ruled unreasonable and unenforceable.

How Do You Get Around a Non-Compete Agreement in Pennsylvania?

If an employee wants to get around a non-compete agreement or terminate the contract, they must prove to a court that the contract is unreasonable and imposes an undue hardship on the employee.

If a non-compete agreement in Pennsylvania doesn’t adhere to the rules implemented by the Supreme Court or doesn’t pass the balance test, it will be struck down.

What Voids a Pennsylvania Non-Compete Agreement?

All non-compete agreements must be backed by adequate consideration. In many states, continued employment is sufficient consideration for a non-compete. Pennsylvania however requires additional consideration. Additional consideration can include a change in status like a new job title, or additional compensation and benefits.

Noncompete agreement breach consequences?

I recently left my job as an employee at a company that I had worked for for over a year. I was asked to sign a noncompete agreement when I began the job, which I did. I have since started a new job in the same industry as my former employer, which is in violation of the noncompete agreement. I am now wondering what the consequences of this breach of contract may be and am seeking legal advice.

Short answer: Probably no, non-compete and non-solicitation clauses are not usually enforceable on an employee in California. Long Answer: Regardless of the choice of law provision in your contract, if an enforcement action is brought against you in California, the California courts will dismiss it as it goes against the "public policy of the state" unless your employer can make a really compelling case. Most states respect the stated public policy of other states when deciding matters against their citizens, so even if the case was brought in another states courts your soon to be former employer would probably be powerless to get a judgement enforcing your non-compete.

I am really curious when employment contract can become criminal. Is it criminal to ask you coworker to come work with you, considering if you are accused of fraud for breaching non compete non solicit?
