Is a Non-Compete Agreement Enforceable in Iowa?
Yes, non-compete agreements are enforceable in Iowa. However, for a non-compete agreement to be considered enforceable, it must pass a three-prong test established by the Supreme Court of Iowa.
The three conditions that must be met to pass the test include:
- The restrictions must be reasonably necessary to protect the employer’s business.
- The agreement cannot unreasonably restrict the employee’s rights.
- The terms of the contract cannot be prejudicial to the public interest.
When determining if a non-compete agreement is reasonable, courts will look at the duration of the agreement, the restricted activities, and the geographic boundaries of the agreement.
How Long Does an Iowa Non-Compete Agreement Last?
Courts in Iowa have established that three years or less is a reasonable term for a non-compete agreement. The time begins when the employment relationship ends. Non-compete agreements that have a duration longer than three years may be ruled unreasonable and therefore unenforceable.
How Do You Get Around a Non-Compete Agreement in Iowa?

- Negotiate with your employer to modify or terminate the non-compete agreement.
- Prove to a court that the agreement is overly broad or unreasonable.
- Seek an injunction if the terms of non-compete are preventing your from working.
- Challenge the enforceability if the agreement if you believe it was signed under duress, fraud, or it violates public policy.
What Voids a Non-Compete Agreement in Iowa?
A contract that does not have all required contract elements will be void in Iowa. To be enforceable, a contract must include an offer, acceptance of the offer, and consideration. For a non-compete agreement, continued employment in exchange for signing the contract is generally accepted as adequate consideration. Without consideration, like continued employment, the contract will be void.

Can I work for a competitor with my current noncompete?
I have ended my non competent consulting agreement with my current employee and I have an offer to work as an employer “not as consultant” with a competitor company to my privious employees so can I work as an employee without any problem? The consultant agreement says the following: Under any circumstances the consultant shall not engage directly or indirectly either as a principal agent , consultant,stock holder , partner or in any other capacity whatsoever have any other relationship with any business which compete with the company in USA.

Can a noncompete agreement be waived?
