What is a Delaware Employment Contract?

A Delaware employment contract is a legally binding agreement between an employer and an employee that outlines the terms of employment. Most employment agreements are used when hiring employees, but they can also be used when hiring contractors, subcontractors, and freelance workers.

An employment contract will outline the rights and obligations of both parties within the working relationship. Issues such as salary, benefits, duties, and cause for termination will usually be addressed in this agreement.

Are Employment Contracts Enforceable in Delaware?

Employment contracts are enforceable in Delaware, including restrictive employment contracts like non-competes which have been seemed unenforceable in many other states.

Delaware will enforce a fair non-competition agreement as long as it reasonable and necessary to protect a company’s business interests. To determine reasonableness, a Delaware court will consider any hardships the agreement will put on the former employee, the restrictions placed on time, territory, and activity, and the effect of the agreement on the general public.

What Are the Legal Requirements for Delaware Employment Contracts?

The legal requirements for an employment contract are governed by Delaware contract laws which can be found in Title 6 of the Delaware Code. To be valid, an employment contract must have mutual assent that is supported by consideration. According to Delaware Courts, the offer of employment in exchange for compensation is sufficient consideration to meet the contract standard.

Types of Delaware Employment Contracts

There are several types of enforceable employment contracts in Delaware including:

  • Permanent employment agreement. Most used for permanent employees who will have set hours, compensation, and no end date for employment.
  • Non-disclosure agreement. Prevents the employee from disclosing confidential company information and trade secrets after employment
  • Non-compete agreement. Prevents the employee from competing with the employer in the same industry by starting a new business or working for a competitor

What's the arbitration agreement in an employment contract?

I am currently in the process of negotiating an employment contract with a new employer. I am concerned about the arbitration agreement in the contract, as I am not sure what it is or how it could affect me in the future. I want to make sure that I understand the implications of the arbitration agreement before signing the contract.

An arbitration agreement is a legally binding contract between two parties or more so in this case between you and the employer. In the Arbitration Agreement both parties agree to use alternative dispute resolution (e.g., mediation, settlement conferences, neutral evaluation, arbitration) rather than pursuing civil court litigation in case a dispute arises. What's the safety policy in an employment contract?

I recently accepted a job offer from a new employer and as part of the employment contract, I need to understand the safety policy in the workplace. I understand that safety policies in the workplace are important for the protection of both employees and employers, but I am not sure of the specific details of the safety policy included in my employment contract. I would like to know what safety policies are included in the contract in order to ensure that I have a safe working environment.

What's intellectual property in an employment contract?

I recently accepted a job offer that contained an employment contract. The contract states that I will not use any intellectual property of the company without prior written consent. I am unsure what exactly constitutes as intellectual property and would like to get a better understanding of the definition of intellectual property in the context of an employment contract.

Your Agreement may contain a definition like this: “Intellectual Property” means recognized protectable rights and interests such as: patents (whether or not issued), copyrights, trademarks, service marks, applications for any of the foregoing, inventions, Confidential Information, trade secrets, trade dress, domain names, logos, insignia, color combinations, slogans, moral rights, right of publicity, author’s rights, contract and licensing rights, works, mask works, industrial design rights, rights of priority, know how, design flows, methodologies, devices business processes, developments, innovations. But a few of these are going to be most likely available to you. Internal company know-how or “ how we do things here that help us succeed”. Note the words “Confidential Information”. Confidential Information is another defined term which includes customer and employee information, pricing and business strategy and plans, among others.

Are employment contracts confidential?

I'm considering taking a second job but would not want my first employer to know. Is there any way for them to find out? I am not sure what all of the language in the contract says and may need to get it reviewed, but I wanted to see if these contracts are kept confidential so that my employer never finds out.
